Facts we review

We review the directors, shareholders and senior operators; where they live and work; who can bind the company; how strategic and commercial decisions are made; and where contracts, accounts and records are maintained.

The review also considers the company's functions, staff, premises, banking, advisers and relationships with group entities. Formal board meetings are assessed in the context of the wider decision process, not in isolation.

How the engagement works

We map the legal governance and the actual workflow, identify contradictions and rank them by consequence. The work then separates issues that can be corrected operationally from those requiring legal, tax or accounting advice in a particular country.

Recommendations may include clearer authority, better decision records, changes to process or a more fundamental review of the entity structure. Paperwork is not used to disguise conduct that remains unchanged.

Evidence that matters

The objective is a contemporaneous record that reflects reality. Evidence should show who considered the material information, who had authority and where the decisive work occurred.

Material limits

Effective management, corporate residence and permanent establishment are legal and treaty questions whose tests differ between countries. No single meeting location, director or document settles every regime.
